Amendments to the Constitution

5.1

Amendments to the Constitution shall be made as the result of a Special e-mail and/or Postal Ballot conducted in terms of the relevant By-laws if at least ten (10) per cent of members qualified to vote in terms of 2.3.2 return a vote and seventy-five (75) per cent or more vote in favour of the amendment.

 

Dissolution

5.2.1

The Institute shall be wound up in terms of a Special Ballot conducted under the relevant By-laws if at least twenty (20) percent of members qualified to vote in terms of 2.3.2  return a vote and seventy-five (75) percent or more vote in favour of the dissolution.

     
 

5.2.2

On dissolution any assets remaining after payment of all liabilities shall be dealt with as set out in clause 5.2.3.

     
 

5.2.3

The remaining assets of the Institute after complying with clause 5.2.2 shall, after a formal agreement has been concluded, be donated or transferred to an institution(s) or association(s) having objectives similar to those of the Institute as determined by Council before the time of dissolution or, failing such determination, by a Court of Law. Any Institution or Association which receives any of the remaining assets of the Institute shall in itself be a registered non-profit body
